There has been a dramatic increase in the recognition of the importance of receivables as a means of raising finance and the role that receivables transactions play in national economies - whether as a source of finance for small and medium enterprises or in capital markets transactions, and whether in domestic or cross-border transactions. In addition to changes in national laws reflecting this development, the subject has been addressed in the Draft Common Frame of Reference, the Principles of European Contract Law and the Unidroit Principles of International Commercial Contracts, and, on the international level, in the Unidroit Convention on International Factoring, the UN Convention on the Assignment of Receivables in International Trade and the Uncitral Legislative Guide on Secured Transactions. Likewise, the private international law rules governing assignments have increasingly become the focus of attention, particularly in the context of Art. 14 of the Rome I Regulation.
